Terms & Conditions
Sample orders of any size are accepted via PayPal — fast, secure, no minimums.
All wholesale orders require an irrevocable Letter of Credit from an approved bank.
All prices are quoted in US Dollars and confirmed in writing before production.
1. Agreement to Terms
These Terms & Conditions ("Terms") govern the use of the website www.puregrainexports.com and all commercial engagements with Pure Grain Exports ("we", "us", "our"), a Pakistan-registered exporter of premium leather hides and a private-label manufacturer of finished leather goods, based in Sialkot, Punjab, Pakistan.
By browsing this website, requesting a sample, submitting a quotation request, or placing a purchase order, you ("Buyer", "Client") confirm that you are a business entity acting in the course of trade and that you accept these Terms in full. If you do not accept these Terms, you must refrain from using our website and from initiating any commercial engagement with us.
2. Nature of Our Business
Pure Grain Exports operates strictly on a business-to-business (B2B) basis. Our products and services are intended for tanneries, brands, wholesalers, manufacturers, sourcing agents, and freight-forwarding partners. We do not sell to consumers and we do not offer retail returns, individual exchanges, or consumer guarantees.
3. Quotations, Offers & Orders
3.1 Indicative Information
All product descriptions, prices, lead times, and stock indications shown on the website or in marketing materials are indicative only and do not constitute a binding offer. Each engagement is governed by a written Proforma Invoice or Sales Contract issued by us.
3.2 Quotation Validity
Unless stated otherwise in writing, formal quotations remain valid for fourteen (14) calendar days from the date of issue. Beyond this period, prices and lead times are subject to revision in line with raw material costs, currency fluctuations, and production capacity.
3.3 Order Confirmation
An order is considered binding only upon: (a) Buyer's written acceptance of our Proforma Invoice, and (b) receipt of the agreed advance payment or letter-of-credit instrument. Verbal orders or unconfirmed email exchanges do not create a binding contract.
4. Pricing, Currency & Taxes
Unless otherwise stated, prices are quoted in USD, on the agreed Incoterm basis (typically FOB Karachi, EXW Sialkot, or CIF named port). Prices are exclusive of destination duties, taxes, port handling, and any local statutory levies, all of which are the responsibility of the Buyer. Pakistani export duties or taxes, where applicable, are borne by us.
5. Payment Terms
Standard payment terms are detailed in our Payments & Trade Terms page and are referenced into each Proforma Invoice. In summary, accepted methods include irrevocable Letter of Credit (L/C at sight), Telegraphic Transfer (T/T) with agreed advance, and other instruments mutually agreed in writing. Late payments may attract interest charges as specified in the Sales Contract.
6. Custom Manufacturing & Private Label
6.1 Specifications & Approvals
For custom-finished hides and private-label finished goods, the Buyer is responsible for providing complete, accurate, and final specifications — including artwork, tech-packs, Pantone references, hardware drawings, and packaging requirements. Production proceeds only after the Buyer's written approval of the physical sample and Proforma Invoice.
6.2 Tolerances
Leather is a natural material. Reasonable variations in shade, grain pattern, surface texture, and dimensional yield are inherent and do not constitute defects. Industry-standard tolerances apply to thickness, color matching, and finished-product dimensions.
6.3 Intellectual Property of Designs
Designs, artwork, brand assets, and tech-packs supplied by the Buyer remain the exclusive property of the Buyer. We will not reproduce or share such assets with any third party without the Buyer's written consent.
7. Shipping, Delivery & Risk
Lead times stated in our Proforma Invoice are good-faith estimates from the date of order confirmation and receipt of advance payment. Risk and title pass to the Buyer at the point defined by the agreed Incoterm. We are not liable for delays caused by events beyond our reasonable control, including but not limited to port congestion, customs holds, carrier strikes, weather disruption, or political force majeure events.
8. Inspection, Claims & Returns
Buyers must inspect goods upon arrival and submit any claim for visible damage, shortage, or non-conformity in writing within the timeframe defined in our Return & Dispute Policy, accompanied by supporting evidence (photographs, packing-list reference, container seal status). Claims raised outside the stated window or without supporting evidence will not be entertained. Custom-finished and private-label goods are non-returnable unless they materially deviate from the approved sample and specification.
9. Intellectual Property & Website Use
All content on this website — including text, photography, logos, layouts, and branding — is the property of Pure Grain Exports or its licensors and is protected by international copyright and trademark law. You may not reproduce, redistribute, or use any part of this content for commercial purposes without prior written permission. Limited use for legitimate B2B sourcing evaluation is permitted.
10. Confidentiality & Non-Disclosure
Both parties agree to treat as confidential all non-public commercial, technical, and design information exchanged in the course of an engagement. This obligation survives the conclusion of any individual order and remains in force unless explicitly waived in writing. Where required, a separate Non-Disclosure Agreement (NDA) may be executed before exchange of sensitive design or pricing information.
11. Compliance, Sanctions & Export Control
The Buyer warrants that it will comply with all applicable export, import, sanctions, and anti-money-laundering regulations of its own jurisdiction and of any transit country. We reserve the right to decline or suspend any order where compliance with Pakistani export regulations, international sanctions lists, or our own due-diligence policies cannot be satisfied.
12. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with any individual order shall not exceed the invoiced value of that order. We shall not be liable for indirect, consequential, or special losses, including loss of profit, loss of business opportunity, reputational damage, or downstream contractual penalties incurred by the Buyer or any third party.
13. Force Majeure
Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, civil unrest, pandemic, government restrictions, port closure, or disruption to essential utilities. The affected party shall notify the other in writing without undue delay and the parties shall cooperate in good faith to mitigate the impact.
14. Governing Law & Dispute Resolution
These Terms and any related contracts are governed by the laws of the Islamic Republic of Pakistan. The parties shall first attempt to resolve any dispute through good-faith commercial negotiation. Failing amicable resolution, disputes shall be referred to arbitration in Lahore, Pakistan, under the Arbitration Act 1940 (as amended), unless an alternative forum is mutually agreed in the Sales Contract.
15. Privacy
The handling of personal and business data is governed by our Privacy Policy, which forms an integral part of these Terms.
16. Changes to These Terms
We may revise these Terms from time to time to reflect changes in law, regulation, or commercial practice. Material changes will be reflected on this page with an updated "Last Reviewed" date. The version of these Terms in force at the date of order confirmation governs that order.
